Contract for " TOTEM "
THIS AGREEMENT is made and entered into as of the __
day of September, 2004, by and between Kevin Nicholson dba.
Blackstripe-Productions, (hereinafter "Producer"), and

(hereinafter "talent").
ACCORDINGLY, IT IS AGREED AS FOLLOWS:
1. Talent understands he is being offered a promotional and capitalist
opportunity to participate in the creation of a video product. Talent
agrees to performing to the best of his / her ability on the date(s)
listed herein. The only exception is “ Force Majure “ or “ Act of God “
Talent agrees to play said role in three to seven 10
- 15 minute shorts, bearing the “ Totem “ Brand. Talent will legally be
obligated to make 3 eight hour days available per each short being
produced. To be compensated with the percentages of sales as stated
herein.
2. Talent ADDRESS: All notices which the Producer is required or may
desire to give to the Talent may be given either by mailing the same
addressed to the Talent at the address listed at the end of this
agreement, or such notice may be given to the Talent personally or in
writing.
3. Talent TELEPHONE: The Talent must keep the Producer office advised
as to where the Talent may be reached by telephone without unreasonable
delay. The current telephone number of the Talent is listed at the end
of the agreement.
4. NAME AND LIKENESS: Producer shall have the right to use and to
license the use of the Talent's name, sobriquet, photograph, likeness,
voice, and/or caricature and shall have the right to simulate talent's
voice, autograph and appearance by any means in and in connection with
any advertising, publicizing, exhibition, and/or other utilization for
profit. thereof in any manner and by any means and in connection with
commercial advertising and publicity tie-ups exclusive to this
video. Talent agrees to forfeit the ability and rights to authorize any
use of the video without consultation and agreement of Producer.
This agreement extends these rights to the producer only in regards to
the sole video project entitled “ Totem “
5. National or International distribution. Sales and Broadcast.
Talent may seek deals of this nature independent of the producer, but
must contact Producer by certified mail if any negotiations regarding
national or international distribution or sales occur.
Talent is still bound herein and forever to have agreed to the
percentages in regards to the first “ Totem “ product created.
Residuals for the entire series of shorts will be recalculated upon
completion of the feature. Whereas percentages will be calculated from
total time invested per role and scaled from the total talents 40%
share of total earnings.
6. INCLUSIVE PAYMENTS: Inclusive percent of payments to talent from the
following sales of the video from the following event are stated herein.
Monies received from Video and DVD sales will be divided amongst Talent
only after producer is repaid for initial monies invested. Producer is
obligated by law to produce proof of monies invested within the first
Then sales figures will be tabulated a minimum of every 180 days from
commercial release. Payment of percentages will occur at that time.
All talent will be entitled to a copy on DVD or VHS
of said event. Copy may be used for self promotion / and may be copied
personally for sale at other local ( New England, New York )live
events. Additional copies may be purchased from Producer at $5.00 per
Vhs copy and $10.00 per DVD.

7. EMPLOYMENT ELIGIBILITY: All of Producer's obligation herein are
expressly conditioned upon Talent's completion, to Producer's
satisfaction, of the I-9 form ( Employee Eligibility Verification
Form), and upon talent's submission to Producer of original documents
satisfactory to demonstrate to Producer, Talent's employment
eligibility.
8. JUSTIFICATION OF PRODUCTION. If producer does not present talent
with dates and locations of said video project via e mail or writing
within a period of 30 days. Talent may elect at her will to terminate
this agreement WITHOUT penalty to either party in writing.
IN WITNESS WHEREOF, the parties have executed this agreement on the day
and year first above written.
